About the Welcome Workdays Service Agreement

This is for all users who want to learn more about the service agreement between them and Welcome Workdays

Introduction

This document governs the obligations and rights that you as a customer and we as a supplier have when using the Welcome Workdays "Service". The document is a deliberate attempt to make all rights and obligations easy to understand — for customers, users and suppliers alike.

The document consists of:

  1. This document — governs the contractual relationship between you as a customer and us as a supplier.

  2. Data Processing Agreement: An appendix to the Service Agreement that governs how we as a supplier shall process and manage personal data on behalf of you and the end users of the service.

  3. The Privacy Policy contains information about Welcome Workdays' processing of personal data carried out by Welcome Workdays in its role as Data Processor and for its own purposes in connection with the delivery of digital services offered via the Service.

  4. List of sub-processors describing which sub-processors Welcome Workdays uses at any given time.


Summary

  • The Service is designed for property companies, tenants and users of office buildings.

  • Data/documents that are particularly sensitive should therefore be stored elsewhere.

  • You as a customer are responsible for the building's technical systems delivered by a third party, such as lifts, access control, etc. Our job is to make things easier for you as a Customer.

  • You as a Customer own the registered data in the Service, referred to as "Customer Data". To make the system as straightforward as possible, we spend considerable time understanding you as a Customer and User. One of the things we do is analyse usage patterns — naturally in a way that safeguards privacy.


Welcome Workdays' rights and obligations

  • Welcome Workdays shall offer and further develop the service to the best of its ability.

  • Welcome Workdays shall, to the best of its ability, correct errors as quickly as possible. Welcome Workdays will assess whether the Customer should be notified based on the severity of any errors.

  • Welcome Workdays shall strive for the highest possible level of uptime and take technical measures to ensure this.

  • User support via chat is included in the service.

  • The purpose of the Service is to automate and simplify the administration of building services for property owners, tenants and office users.

  • Welcome Workdays shall provide the Customer with information and training related to the product through the service itself, online, by email or other relevant media.

  • Welcome Workdays has the right to tailor this communication based on data registered in the system, as well as publicly available information about the company. Examples include sending emails to Customers who have or have not adopted relevant features of the Service. If a Customer does not wish to receive information by email, they may unsubscribe directly from the newsletter or information sent to them.

  • Welcome Workdays may use customer data to fulfil its agreement with the customer, either alone or with the assistance of sub-processors, in accordance with the data processing agreement entered into with the Customer at the same time as this Service Agreement.

  • Welcome Workdays can and wishes to enter into partnerships with providers of third-party products ("Partners") where this is considered relevant for simplifying or enriching the Service. An example would be the ability to send invoices to users or offer parking in a seamless way. Where this is done, the offer will be presented within Welcome Workdays for the Customer to consider.

  • Welcome Workdays has the right to suspend access to an account in the event of non-payment.

  • Welcome Workdays has the right to suspend access to an account if misuse is suspected. In the event of such suspension, the Customer shall be informed of the reason and given the opportunity to provide an explanation.

  • Welcome Workdays is not responsible for the content of data registered by the Customer or Users in the Service, nor for the Customer's use of the Service. This means, for example, that Welcome Workdays is not responsible for the quality of the data or content specific to each customer.

  • The Customer shall indemnify Welcome Workdays against all costs and losses incurred by Welcome Workdays as a result of a third party claiming that the Customer's data or use of the Service infringes third-party intellectual property rights.

  • Welcome Workdays' potential liability under this user agreement including appendices shall be limited to direct losses. Indirect losses are not covered. Indirect losses include, for example, loss of profit, loss due to business interruption, loss of data, consequential loss and claims from third parties. The compensation claim may not exceed the total annual fee, and in any case may not exceed NOK 1,000,000 per twelve-month period.


Customer's rights and obligations

  • The Customer has the right to use the Service provided that other obligations are met.

  • Login credentials are personal, must be kept secure and must not be shared with others.

  • Users must use their full and correct name when using the Service.

  • The target audience for the Service is businesses. The Service is a solution designed to simplify the administration of commercial buildings and to offer services within those buildings.

  • The Customer holds ownership of registered data.

  • The Customer is the data controller for registered personal data. See also the appendix on the data processing agreement.

  • The Customer has the right to delete data, though in some cases this may result in Welcome Workdays being unable to deliver the Service to the Customer.

  • The Customer may only use the Service for lawful and business-related purposes.

  • The Customer is solely and fully responsible for information registered in the Service.

  • The supplier is not responsible for any misuse of the service by tenants.

  • The Customer does not have the right to use the system if the intent is to create or contribute to the creation of a competing solution. In cases of doubt, Welcome

  • Workdays must be contacted at support@wlcm.tech and the Customer must refrain from using the service until a written response has been received. Breach of this provision triggers personal liability for Welcome Workdays' market losses and costs associated with the development of relevant functionality.


Privacy

  • Privacy is important to Welcome and we are very conscious of our responsibility and the trust placed in us to secure and handle information with care. At the same time, this need must occasionally be balanced against users' desire for simple and intuitive systems.

  • The purpose of processing all data, including personal data, is to be able to offer solutions that make the use of buildings, access to digital services in buildings and other experiences within the building, as well as building administration, straightforward for the Customer.

  • To achieve this purpose, Welcome uses a number of partners and sub-processors.

  • See also the appendix on the Data Processing Agreement.


Pricing

  • Welcome Workdays has the right to change the price and pricing model for all services. For changes beyond the consumer price index, the Customer must be notified at least three months before the change takes effect.

  • Prices for the service(s) are always available in the company's price catalogue.

  • For services billed on a consumption basis where the customer increases their own usage, the customer is responsible for adjusting this — for example, the number of users of the solution.

  • The price applies per organisation in accordance with the current price list.


Invoicing

  • Welcome invoices monthly, quarterly or annually — depending on the customer's choice.

  • In some cases, Welcome may offer a discounted price on services in exchange for predictable revenue, for example when payment is made for 12 months.

  • Payment terms are net 30 days.

  • For services billed on a consumption basis, such as SMS, this will be invoiced at the end of each month.

  • There is no minimum contract period for Welcome Workdays services.

  • The notice period is limited to the current calendar month at any given time.

  • Invoicing only takes place after the customer has explicitly ordered the service(s) and the service has been set up.

  • Stated prices are exclusive of VAT.


Ownership and intellectual property rights

  • This is an agreement for access to and use of the Service based on a subscription, and you are not granted a licence to any software under this agreement.

  • Welcome Workdays retains all ownership and intellectual property rights to the Company's services, consulting services, and all other products or services delivered under this agreement.

  • You may not copy, rent, lease, sell, distribute or create derivative works based on the Welcome Workdays service except as expressly authorised by us in writing.


Duration

  • The agreement runs until it is terminated by the customer.

  • Termination of the agreement must be done either via the customer portal or by written notice to support@wlcm.tech.


Changes and updates

  • The Customer subscribes to the Service. Welcome Workdays will update the service on an ongoing basis and the Customer will always have the latest version.

  • If the Customer wishes to adopt new functionality not included in the current pricing, this must be ordered via the customer portal.

  • Welcome Workdays shall give written notice if the company intends to discontinue or make material changes to the functionality of the products. Such changes will be notified and announced through our electronic customer communication channels.


Other

  • The Service Agreement follows the Service and may therefore be transferred, for example in the event of a merger or acquisition of a product or company.

  • Welcome Workdays will update the agreement on an ongoing basis, for example to comply with new laws and regulations or to adapt the agreement to new and improved functionality made available to you as a customer. In such cases, Welcome Workdays will inform Customers well in advance of any upcoming changes. In the event of material changes that are not acceptable to the Customer, the agreement may be terminated in accordance with the agreement's termination provisions. The Customer may also, by written request to support@wlcm.tech, request an extended notice period of up to 6 months in cases where the Customer does not wish to accept the changes and where the

  • original agreement applies throughout this notice period, so that the Customer has time to find alternative solutions.

  • The contact details for Welcome Workdays under this agreement are: support@wlcm.tech, while for the Customer it is the email address registered at the time of subscription. It is the Customer's responsibility to keep this up to date.

  • Upon termination of the agreement, all Customer Data will be deleted unless Welcome Workdays is obliged to retain all or part of it for a longer period. The Customer is entitled to assistance in having their Customer Data exported upon request.

  • In the event of a change to the customer's system setup due to the Customer switching to adjacent suppliers or systems, where Welcome Workdays must provide assistance specifically for the Customer on an hourly basis, the following terms apply.

  • The agreement is governed by Norwegian law with Oslo District Court as the agreed venue. This also applies after the termination of the user agreement.


Definitions:

  • Customer: means all those who have ordered and paid for the service.

  • User: means all those who are users of the service and who have been assigned their user account by the Customer in the following categories:

  • Company Administrator: means the person who administers Welcome Workdays on behalf of a tenant in a building.

  • Building Administrator: means the person who administers Welcome Workdays on behalf of a building.

  • End User: means the person who uses the service and is employed by a tenant.

  • Customer Data: means data received by Welcome Workdays from the Customer, or from a third party on behalf of the Customer, including personal data, for use as the basis for the subscription.

  • Services: means the products delivered as a software-as-a-service as well as all other services delivered under the Subscription Agreement.

  • Affiliated Companies: means for a Party any company within the same group, as well as the Party's third-party customers and suppliers.
